These Terms of Service ("Terms") govern your use of BackfillAI, operated by IntegrateLogic LLC ("BackfillAI," "we," "our," or "us"). By using our platform, you agree to these Terms.

1. Description of Service

BackfillAI is an AI-powered appointment slot recovery platform designed for speech therapy and healthcare clinics. Our service helps clinics fill cancelled appointment slots by ranking waitlisted patients and sending automated SMS/WhatsApp notifications.

2. Eligibility

BackfillAI is intended for use by licensed healthcare clinics and their authorized staff. By using our service, you represent that you are authorized to act on behalf of your clinic and to handle patient contact information in accordance with applicable laws.

3. Patient Consent and SMS Communications

Clinics using BackfillAI are solely responsible for:

• Obtaining proper consent from patients and guardians before adding them to the waitlist
• Ensuring all SMS/WhatsApp communications comply with TCPA and applicable regulations
• Maintaining accurate opt-out records
• Complying with HIPAA and applicable state privacy laws

BackfillAI provides the technical platform for sending messages but clinics bear responsibility for the consent and compliance framework.

4. Acceptable Use

You agree not to use BackfillAI to:

• Send unsolicited messages to individuals who have not consented
• Violate any applicable laws or regulations
• Transmit false or misleading information
• Interfere with or disrupt the platform
• Attempt to gain unauthorized access to any system or data

5. Subscription and Billing

BackfillAI is offered on a monthly subscription basis. Fees are billed in advance each month. You may cancel at any time; cancellation takes effect at the end of the current billing period. We reserve the right to modify pricing with 30 days notice.

6. Data and Privacy

Your use of BackfillAI is also governed by our Privacy Policy. We will enter into a Business Associate Agreement (BAA) with clinics upon request for HIPAA compliance purposes.

7. Intellectual Property

BackfillAI and its content, features, and functionality are owned by IntegrateLogic LLC and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, or distribute our platform without written permission.

8. Disclaimers

BackfillAI is provided "as is" without warranties of any kind. We do not guarantee that the service will be uninterrupted or error-free. AI-generated rankings and messages are suggestions only — clinic staff are responsible for clinical decisions.

9. Limitation of Liability

To the maximum extent permitted by law, IntegrateLogic LLC shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of BackfillAI. Our total liability shall not exceed the amount paid by you in the 3 months preceding the claim.

10. Termination

We may suspend or terminate your access to BackfillAI if you violate these Terms or engage in conduct we determine to be harmful to other users or our platform. You may terminate your account at any time by contacting us.

11. Governing Law

These Terms are governed by the laws of the State of Georgia, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Gwinnett County, Georgia.

12. Changes to Terms

We may update these Terms periodically. We will notify you of material changes via email. Continued use of BackfillAI after changes constitutes acceptance of the updated Terms.
